Usage Terms

1. License Agreement

By downloading, purchasing, or using any sample pack (“Sample Packs”) or individual samples (“Samples”) from Loop Garden AB (“Loop Garden”), whether via our website, Discord server, or any other distribution platform, you (“User”) unconditionally agree to the terms and conditions outlined in this License Agreement. If you do not agree with these terms, you may not use the Sample Pack or individual Samples obtained from Loop Garden.

2. Grant of License

Upon purchasing or downloading any of the Sample Packs or individual Samples from Loop Garden and after having accepted these Usage terms, the User is granted a non-exclusive, non-transferable license to use the Sample Packs and Samples under the following conditions:

Minor Releases

  1. Permissible Uses: You are free to use the Sample Packs and Samples in your independent releases, personal projects, beat tapes, and mixtapes. This includes selling beats online and minor placements.
  2. Cost and Royalties: This usage is free of additional costs and does not require providing us with publishing splits or crediting us
  3. Stream Limit: Any minor release that surpasses a total of one million streams across platforms such as but not limited to Apple Music, Spotify, or YouTube is considered a Major Release, subject to the terms outlined below.
Major Releases

A “Major Release” is any release that meets one or several of the following conditions:

  1. Label Backing: The release is distributed or financially supported by a major label or an independent label with significant financial resources, marketing, and distribution infrastructure.
  2. Stream Count: The release surpasses one million total streams across all streaming platforms (e.g., Apple Music, Spotify, YouTube).

For any Major Release, the following terms apply:

  • Clearance: You must obtain prior permission from Loop Garden to use the Sample Packs and Samples.
  • Royalty and Compensation: Fair compensation must be provided according to a separate license agreement (see appendix A), including appropriate splits for advances, royalties, and publishing.
  • Credit: Loop Garden (or the creator of the sample) must be credited as Co-Producer in the liner notes, advertisements, and metadata.

3. Restrictions

The User agrees to the following restrictions:

  • The Sample Packs and Samples may not be redistributed, shared, sold, lent, sub-licensed, or transferred in their original form.
  • The Sample Packs and Samples may not be used to create derivative sample packs or other products intended for distribution in isolation.
  • The Sample Packs and Samples may not be used in any way that infringes upon the rights of third parties or violates any applicable laws.

4. Attribution

While not required, crediting Loop Garden in your project is highly appreciated.

5. Ownership

All rights, title, and interest in and to the Sample Packs and Samples remain with Loop Garden. This License Agreement does not transfer any ownership rights to the User.

6. Indemnification

The User agrees to indemnify, defend, and hold harmless Loop Garden from and against any claims, liabilities, damages, losses, or expenses arising out of or in connection with the User’s use of the Sample Packs and Samples.

7. Termination

This License Agreement is effective until terminated. Loop Garden reserves the right to terminate this agreement immediately if the User fails to comply with any of the terms herein. Upon termination, the User must cease all use of the Sample Packs and Samples.

8. Disclaimer of Warranties

The Sample Packs and Samples are provided “as is” without warranties of any kind, either express or implied. Loop Garden does not warrant that the Samples will meet the User’s requirements or that the operation of the Samples will be uninterrupted or error-free.

9. Limitation of Liability

In no event shall Loop Garden be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use of or inability to use the Sample Packs and Samples.

10. Governing Law

This License Agreement shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.

11. Amendments

Loop Garden reserves the right to amend these terms at any time, and it is the User’s responsibility to review these terms regularly.
